Credit usage guide

How credits are allocated, used, rolled over, expired, and billed under the applicable Subscription Plan or Order Form.

Informational only. This guide describes how credits work today. It is provided for informational purposes only and does not form part of your subscription agreement. Your binding terms are in the Terms of Service (or, for Enterprise customers, your Order Form). In any conflict, your Order Form prevails, then the Fees & Credits Schedule, then this guide.

This Credit Usage Guide governs the allocation, use, rollover, expiry, and billing of credits under the applicable Subscription Plan or Order Form.


1. Definitions

  • Credits: Units of usage that may be consumed to access the Company's services. Credits are non-transferable, non-refundable, and subject to expiry as set out in this Guide or the applicable Order Form.
  • Subscription Credits: Credits included in a recurring subscription plan, allocated at the start of each Billing Cycle or annually, as applicable.
  • Purchased Credits (Add-On Credits): Additional credits purchased separately from a Subscription Package. Purchased Credits are subject to the same usage rules as Subscription Credits unless otherwise specified.
  • Billing Cycle: The recurring period (e.g., monthly for Self-Serve or annual for Enterprise) defined in the applicable Subscription Plan or Order Form.
  • Enterprise Customer: A customer purchasing access to the Platform pursuant to a negotiated Order Form and governed by the Enterprise Subscription Terms.
  • Self-Serve Customer: A customer subscribing to the Platform via standard online plans without a negotiated Order Form.
  • Issue Date: The date on which Credits are allocated or purchased, used to determine expiry.

2. Credit Allocation

  • Credits are allocated based on the applicable Subscription Plan or Order Form.
  • For Self-Serve Customers, Credits are allocated at the beginning of each Billing Cycle, which may be monthly or annual depending on the selected plan.
  • For Enterprise Customers, Credits are allocated annually in accordance with the applicable Order Form.
  • Credit allocation, including the number of Credits and timing of replenishment, is governed by the applicable Subscription Plan or Order Form and, where applicable, the Fees & Credits Schedule.

3. Credit Consumption

  • Credits are consumed based on Customer's use of the Company's services, including AI Features, Outputs, workflows, and other usage-based functionality, in accordance with the then-current pricing and usage metrics.
  • The rules governing Credit consumption, including how many Credits are consumed for a given action or feature, are further described in the applicable Subscription Plan or the Fees & Credits Schedule (for Enterprise Customers).
  • The Company reserves the right to update Credit consumption rates and methodologies from time to time, with reasonable notice to Customer.

4. Rollover of Unused Credits

4.1 General Rule

  • Unused Credits may roll over to subsequent Billing Cycles, subject to the expiry and other limitations set out in this Guide or the applicable Order Form.

4.2 Self-Serve Customers

  • For Self-Serve Customers, unused Credits roll over on a rolling basis but expire twelve (12) months from their date of issuance.
  • Once expired, unused Credits are forfeited and may not be carried forward.

4.3 Enterprise Customers

  • For Enterprise Customers, rollover and expiry of unused Credits are governed by the applicable Order Form and Fees & Credits Schedule.
  • Unless otherwise specified in the Order Form, unused Credits remain available during the Term and expire upon termination or expiry of the Agreement.

4.4 Limitations

  • The Company may impose reasonable limits on Credit accumulation or usage, including:
    • A maximum aggregate Credit balance; and/or
    • Operational or technical safeguards to prevent abuse or unintended usage patterns.

5. Expiry of Credits

5.1 Self-Serve Customers

  • For Self-Serve Customers, Credits expire on a rolling basis twelve (12) months from their date of issuance.
  • Unused Credits that reach their expiry date are automatically forfeited.

5.2 Enterprise Customers

  • For Enterprise Customers, the expiry of Credits is governed by the applicable Order Form and Fees & Credits Schedule.
  • Unless otherwise specified in the Order Form, unused Credits expire upon termination or expiry of the Agreement.

5.3 General

  • Expired Credits are forfeited, have no cash value, and are non-refundable.

6. On-Demand / Overage Usage

6.1 Self-Serve Customers

  • Usage is limited to the Credits included in the Customer's selected Subscription Plan.
  • Once Credits are exhausted, access to usage-based functionality may be restricted until the start of the next Billing Cycle or until the Customer upgrades to a higher Subscription Plan.
  • Self-Serve Customers are not permitted to exceed their allocated Credits and do not have access to overage or on-demand usage.

6.2 Enterprise Customers

  • Enterprise Customers may exceed their allocated Credits and incur overage (on-demand) usage charges ("Overage Usage") as outlined in the applicable Order Form and Fees & Credits Schedule.
  • Overage Usage will be billed:
    • At the overage rate specified in the applicable Order Form; or
    • At the Company's standard overage rates if not otherwise specified.
  • Overage charges will be invoiced monthly in arrears unless otherwise agreed in writing.
  • Administrators may receive notification when included Credits have been exhausted and Overage Usage begins.

7. Tier-Based Differences

  • Self-Serve plans:
    • Rollover enabled, subject to the 12-month expiry period
    • No overage or on-demand usage permitted
    • Usage is limited to the Credits included in the selected Subscription Plan, with upgrades required for additional usage
  • Enterprise plans:
    • Custom Credit allocation, rollover, and expiry terms as specified in the applicable Order Form and Fees & Credits Schedule
    • On-demand (overage) usage enabled
    • Pricing, usage limits, and overage terms governed by the applicable Order Form

8. Modifications

  • The Company may update this Credit Usage Guide from time to time with reasonable notice.
  • Any material changes will not apply to Enterprise Customers during the then-current Term unless otherwise agreed in writing or as set out in the applicable Order Form.

9. General

  • Credits have no cash value, are not legal tender, are non-transferable, and are non-refundable except as required by applicable law.
  • Credits may only be used by the Customer in connection with its subscription to the Platform and in accordance with the applicable agreement.
  • Credits may not be sold, resold, assigned, sublicensed, or otherwise transferred to any third party.
  • In the event of any conflict or inconsistency between this Credit Usage Guide, the Fees & Credits Schedule, and an Order Form:
    • The Order Form shall prevail;
    • Followed by the Fees & Credits Schedule;
    • Followed by this Credit Usage Guide.
